If you’re about to start a business, the first step already has a name and a number: the CNPJ (company tax ID). Without it, your company doesn’t exist in the eyes of the Receita Federal (Federal Revenue Service), can’t issue tax invoices, can’t open a corporate bank account and can’t take part in public tenders or formal contracts. What the CNPJ is and what it’s for

The National Registry of Legal Entities (CNPJ) is the single, federal registration that identifies every company or entity in Brazil. It is issued by the Receita Federal and works like a “company CPF”: a 14-digit number that will stay with your company throughout its entire existence.

Official definition by the Receita Federal

The Receita Federal defines the CNPJ as the mandatory registration for all legal entities and some non-profit organizations. The number is structured in three parts: the 8-digit root, the 4-digit order and the 2 check digits (DV). In practice, this composition identifies the company’s registration, distinguishes establishments such as headquarters and branches, and validates the sequence provided.

Difference between CNPJ and CPF

Although both are public registrations, the CNPJ and the CPF serve different parties:

  • CPF — identifies an individual, for personal use.
  • CNPJ — identifies a company or organization, for business use.

A common mistake among first-time entrepreneurs is trying to use the CPF for business activities. If you intend to invoice, issue tax documents or hire employees, the CNPJ is mandatory.

Why your company needs a CNPJ

Having a CNPJ goes well beyond simply being “legalized.” It is the gateway to a range of benefits and operations that an individual cannot carry out.

With the CNPJ, your company comes to exist legally. This means it can enter into contracts, sue and be sued, take part in public tenders and formalize partnerships. Without the registration, any commercial activity is subject to penalties and fines. Issuing tax invoices

Issuing electronic tax invoices (NF-e) is mandatory for most companies. The CNPJ is the identifier that allows the tax authorities to trace all of your company’s commercial transactions. For those who work with other companies or provide services to the government, the tax invoice is a mandatory document.

Access to credit

Banks and financial institutions grant credit to companies with a registered CNPJ that is current on its obligations. The registration also lets your company tap specific credit lines for small businesses, such as BNDES, FINEP and state incentive programs. Structure of the CNPJ number

The CNPJ number has 14 digits in the format XX.XXX.XXX/0001-XX. Each block has a meaning:

Root (first 8 digits)

The root is the basis of the company’s registration. It is this block that remains as a reference when the company has more than one establishment.

Order (next 4 digits)

The order identifies the establishment linked to the same root. It is this segment that distinguishes the headquarters from any branches or other registered units.

DV (check digits — last 2 digits)

The last two digits are calculated by a specific algorithm and serve to validate the authenticity of the number. If any digit is changed, the DV no longer matches and the Receita Federal’s system rejects the query.

What each position reveals

  • Root + order: show which company registration it is and which establishment is being queried
  • DV: confirms whether the number is valid, reducing typing errors in the query

Sole Proprietor (EI)

The owner is the company. There is no separation between personal and business assets. Liability is unlimited.

Individual Micro-Entrepreneur (MEI)

A special category of the EI, with an annual revenue ceiling and simplified obligations. It is the simplest form of formalization.

Limited Liability Company (LTDA)

Two or more partners with liability limited to the capital invested. It is the most common form for small and medium-sized businesses.

Corporation (SA)

Capital divided into shares. It can be publicly traded (stock exchange) or privately held. Used for larger companies.

How to check a CNPJ for free

CNPJ lookups are public and free. Anyone can check the registration status of any company.

Receita Federal

The official service Check CNPJ at gov.br lets you check:

  • Registration status (active, inactive, closed)
  • Legal nature
  • Primary and secondary economic activity
  • Business address
  • List of partners and administrators

Mobile apps

If you prefer to use your phone, first check the gov.br App Gallery to confirm whether the app is official and active. Today, the verifiable public channels related to this topic include the Receita Federal app and, for micro-entrepreneurs, the MEI app. To check the registration data of a CNPJ, the most direct and up-to-date route is still the official web service of the Receita and REDESIM.

What to do if you find an irregularity

If you looked up a CNPJ and found information different from what you expected — such as a registration status different from the actual one or outdated data — the first step is to contact an accountant to regularize the situation. Registration changes at the Receita Federal are made through the REDESIM Portal or by the accountant with an electronic power of attorney.

If the irregularity is intentional (a shell company, a cloned CNPJ), the recommendation is to file a police report and notify the Receita Federal through official channels.
