How long does it take to open a CNPJ in São Paulo

One of the most common questions for anyone about to start a company is: “How long?” The answer is not simple, because the total timeline depends on each stage — and each stage involves a different government body. If you still don’t know where to start, check the complete step-by-step guide to opening a company. Vivian Sampaio, an accountant and lawyer with more than 26 years of experience in accounting and law, breaks down what influences each phase of the process in São Paulo.

Total timeline — overview

Under normal conditions, with all documents in hand and no complications, the total time to open a CNPJ (company tax ID) in São Paulo ranges from 5 to 15 business days. Low-risk companies with a simple structure (a MEI (individual micro-entrepreneur), for example) can be up and running within a few days. Companies that require special licenses (environmental, sanitary) may take weeks or months.

The best way to understand the timeline is to look at each stage individually.

Timeline by stage — JUCESP

The São Paulo State Board of Trade (JUCESP) is the body responsible for registering companies in the state. It operates within the REDESIM workflow.

Via REDESIM (automatic)

For companies that fall under REDESIM’s automatic workflow, registration with JUCESP is instant or takes between 24 and 72 hours. The system validates the data electronically and, if everything is correct, registration is granted automatically — with no human review. To prepare your filing under this workflow, see the step-by-step guide to opening a company through Simplifica.

Manual review

For companies that don’t qualify for the automatic workflow (issues with the business name, high share capital, regulated activities), JUCESP carries out a traditional review. In that case, the timeline rises to 5 to 10 business days.

To avoid manual review, pay attention to the points that commonly trigger requirements:

  • A business name too similar to one already registered
  • A description of the corporate purpose that is too generic or broad
  • Share capital incompatible with the declared activity

Timeline by stage — Federal Revenue Service

The CNPJ is issued by the Federal Revenue Service (Receita Federal). The timeline is up to 48 business hours after validation of the request coming from REDESIM. In practice, the CNPJ number usually comes out the same day or the day after registration with the Board of Trade.

You can look up the CNPJ immediately after it is issued through the Federal Revenue Service portal, using the CNPJ number.

Timeline by stage — São Paulo City Hall

The city hall is responsible for the operating permit (alvará). The timeline depends directly on the activity’s risk classification:

Automatic permit (low risk)

For low-risk activities (offices, clinics, service providers without in-person customer service), the permit is granted within 48 to 72 hours automatically. The city hall system validates the data and, if there is no incompatibility with the property’s use, grants the permit without human review.

Permit with review (medium risk)

Retail shops, restaurants, bakeries, gyms and similar businesses undergo a document review. The timeline is 5 to 15 business days, depending on the volume of requests at the time and the need to supplement documents.

Permit with inspection (high risk)

High-risk activities (factories, clinics with overnight stays, event centers, activities with environmental impact) require an on-site inspection. The timeline can reach 30 days or more, depending on inspector availability and the complexity of the inspection.

Timeline by stage — state and municipal registrations

Municipal registration

Done automatically via REDESIM for service companies. The timeline is integrated into the formation process — it usually doesn’t add extra days if all documents are correct.

State registration

Required for commerce and industry companies. It is also done via REDESIM. The timeline is up to 5 business days after the CNPJ is granted.

How to speed up each stage

Each phase of the process has points where delays tend to happen. Here’s how to avoid them:

At JUCESP

  • Check the business name beforehand before starting the process. Use JUCESP’s search system to avoid names already in use.
  • Fill in the corporate purpose precisely. A purpose that is too generic (“services in general”) can trigger a requirement.
  • Track the process online through the JUCESP portal. If a requirement is raised, respond quickly — the clock only runs when you act.

At the Federal Revenue Service

  • The CNPJ is fast. If there’s a delay, it is usually related to an upstream problem (JUCESP or the city hall). Fix the source first.

At the city hall

  • A correct address is essential. A residential address requires proof of commercial use of the property (owner’s declaration or a copy of the deed).
  • Check the zoning legislation. If your street is exclusively residential, the permit will be denied.
  • Use the SP+Simples Portal to track progress. Responses to requirements need to be quick.

FAQs

How long to open a MEI in São Paulo?

The MEI (individual micro-entrepreneur) is the fastest process. If you have a silver-level gov.br account and all your documents, it can be done in less than 1 business day — the CNPJ is generated automatically by REDESIM.

How long to open an LTDA in São Paulo?

A Limited Liability Company (LTDA) in São Paulo takes on average 7 to 15 business days with all documents in hand. If JUCESP raises a review requirement, it can reach 20 business days. Companies that need an environmental license may take several weeks more.

From when does the clock start?

The clock starts running from the moment you file all the required documents. If a document was missing, the clock only starts when you resubmit everything complete.

Can I open the company and operate while the process is running?

No. The company only exists legally once the CNPJ is granted. Operating without a CNPJ can lead to assessments and fines. For activities that require a permit, you must also wait for the permit to be granted before starting operations.

Can I pay to speed it up?

There is no way to pay to speed up the process with the government bodies. What does speed things up is: having all your documents ready, using the automatic workflow (low risk), responding quickly to requirements, and using an accountant who knows the procedures.

Is the timeline the same for every municipality in São Paulo State?

No. The guide above refers exclusively to the city of São Paulo. For other municipalities in the state, city hall timelines may vary. The federal stage (Federal Revenue Service) and the state stage (JUCESP, state registration) are the same.
